1. Acceptance of Terms

By accessing or using Exponential Technologies, LLC's services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of the terms, you may not access the Services.

2. Description of Service

Exponential Technologies, LLC provides a web-based software that allows you to track goals and take personal notes ("the Service"). We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

3.1. You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account and password.

3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. User Conduct

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to the Service or its related systems or networks
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from Exponential Technologies, LLC

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Exponential Technologies, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Payment Terms

7.1. Subscription Fees: You agree to pay all fees associated with your account. Fees are subject to our refund policy as outlined in section 7.4.

7.2. Billing: We utilize Stripe as our third-party payment processor. By providing a payment method, you expressly authorize us to charge you through Stripe for all fees incurred in connection with your use of the Service.

7.3. Automatic Renewal and Termination:

Automatic Renewal: Subscriptions shall automatically renew for successive periods of equal duration to the initial subscription period, unless terminated by you.
Termination: You may terminate your subscription at any time through the user portal provided by Exponential Technologies, LLC. Such termination shall take effect at the conclusion of the current billing cycle, and no further charges shall be incurred thereafter.
No Notice Required: You are not required to provide advance notice of termination. The ability to terminate is immediately available through the user portal at your discretion.

7.4. Refunds and Free Trials:

Initial Payment: The initial payment for any subscription shall be deemed non-refundable upon commencement of the subscription period.
Subsequent Payments: Any payment subsequent to the initial payment shall be eligible for a full refund, provided that a written request for such refund is received by Exponential Technologies, LLC within seven (7) calendar days from the date on which said payment was processed.
Free Trial Conversions: In the event that you commence a free trial of the Service, you hereby acknowledge and agree that, upon expiration of the trial period (typically seven (7) or fourteen (14) calendar days, as specified at the time of trial initiation), your payment method will be automatically charged for the full subscription fee, unless you have affirmatively cancelled your subscription prior to the conclusion of the trial period.

7.5. Taxes: You shall be solely responsible for any and all applicable taxes. Exponential Technologies, LLC reserves the right to collect and remit taxes as required by applicable law.

7.6. Modifications to Pricing: Exponential Technologies, LLC reserves the right, at its sole discretion, to modify its pricing structure at any time. In the event of such modification, Exponential Technologies, LLC shall provide you with reasonable advance notice of said changes.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

9. Limitation of Liability

In no event shall Exponential Technologies, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
